TERMS OF SERVICE

This Terms of Service (herein referred to as the “Contract”) is made and executed by and between:RF.Aedris herein referred to as the “Live2D Rigger”;
- and –
You, dear customer, herein referred to as the “Client”;
Client must have sufficient legal capacity, and in the instance that Client is a minor, parental or guardian authorization is required to enter into this Contract.Upon commissioning of Live2D Rigger, the Client declares to have read and understood the terms and conditions to proceed with the virtual goods transaction; the parties hereto agree as follows:

TERMS AND CONDITIONS

I. DESCRIPTIONS

  • Add-ons: Additional animations, arm poses, expressions, hairstyles, hand rigs, outfits, and accessories which are not included in the selected tier level.

  • Animation: The movements and motions programmed on the rigged model (eg. Hip sway, Wagging tail, Shoulder shrug, Arm wave);

  • Arm poses: Toggled only arm layers and does not include hand tracking (eg. Hand with game controller, Hands on waist) ;

  • Expressions: Toggles such as static expressions (eg. Blushing, Surprised face, Angry vein mark, Sad face);

  • Hairstyles: Toggle hairstyles different/modified from the default hairstyle;

  • Hand rigs: Hand tracking via webcam, phone and/or other external technologies;

  • Outfits: Toggles of clothes materialistically and functionally different from the default.

  • Artist: The person illustrating the model artwork.

  • Base price: The primary payment charged based on the established tier level of the commission and does not include the price of any add-ons. The base price is only the initial introductory billing as part of the total price to be paid.

  • Cutting: The technical process of separating key parts of an illustration or model artwork into usable layers fit for rigging purposes.

  • Down payment: The minimum charged payment prerequisite to starting the commission amounting to 50% of the total price (tier level of the commission + any other additional charges). Note that the reservation fee is not included in the total price.

  • Guide sketch: A rough draft/guideline of the required reference, preferably provided personally by the artist, in keeping for consistency of the art style.

  • Illustration: The artwork or the complete detailed design of the character.

  • Model: The artwork of the character that has been pre-cut/properly cut/separated per layer in .psd format and is ready for rigging purposes.

  • Reservation fee: The payment charged for securing a slot in the commission queue or for the involvement of Live2D Rigger in the guiding or cutting of the illustration or model artwork.

  • Un-cut: The illustration without the necessary parts divided in layers of the .psd file. This is unusable in terms of rigging purposes.

II. COMMISSION

  1. The Live2D Rigger has the uncontested right to refuse the Client’s commission prior to any payment made by the Client.

  2. The Client confirms to be reasonably aware of the skill and rigging style of Live2D Rigger upon commissioning, and results are affected by the cutting and style of the model artwork. They have a duty to acquire such awareness/knowledge from the Live2D Rigger before undertaking any rigging agreement.

  3. The Client is responsible for testing the quality and compatibility of the programs (e.g. OBS, Games) necessary for streaming using the available default assets in Vtube studio. The Client hardware set-up is not the responsibility of Live2D Rigger should the tracking quality of the rigged model be affected in an unsatisfactory manner.

  4. The Client is to act in good faith to the agreement and the Live2D Rigger will uphold the tenets of such agreement in similar good faith. This good faith stands to hold the Live2D Rigger under no liability or legal obligation beyond the scope of this agreement.

III. MODEL ARTWORK

  1. The model will only be accepted for rigging if it conforms to the following:

  • The model provided is an original work of the Client;

  • The model provided is an original work commissioned to an artist by the Client;

  • The model provided has explicit permission of the original artist that it is to be rigged or made customizations to by the Client.

  1. In the case of un-cut models:

  • Guides for self-cutting the model artwork will be provided by Live2D Rigger to the commissioned artist only after the Client has successfully paid for the reservation fee and it was confirmed received by the Live2D Rigger.

  • Should the Live2D Rigger be personally involved in the cutting of the model artwork, the Client must first settle the incurred additional charges which are not included in the total rigging price.

  1. The model file provided must be as follows:

  • The model file must be in **.psd **format;

  • The model file is preferably 4k resolution at the minimum.

  1. Live2D Rigger shall fall under no liability should the illustration or model artwork be plagiarized and reserves the right to act with the knowledge in good faith to the Live2D Rigger and its other clients. The Client shall undertake full responsibility and shall forfeit any grace, benefit and/or protections of this agreement.

IV. ANIMATION AND CHARACTERIZATION

  1. The Client must be able to provide the following details upon commission:

  • A clear and full description of the character;

  • Clear references and/or detailed descriptions of togglable expressions and custom animations.

  1. Should the Client or Client’s commissioned artist choose to provide any particular facial angles and/or expression guide sketches of the model, it must include the following:

  • Facing the left side (semi-side view) or 3/4 face angle;

  • Facing up;

  • Facing down;

  • Expressions (for toggle expressions).

V. UPDATES, EDITS, AND REVISIONS

  1. The Live2D Rigger will provide clips or screenshots of the rigged model for the purposes of checking and updates. The Client can request edits or revisions to be made at this stage.

  2. The Live2D Rigger may provide additional clips of the rigged model upon request of the Client after the progress of the work reaches 30%.

  3. The Client must provide detailed feedback, clear revision instructions, or confirmation upon receiving clips or screenshots of the rigged model. The timeframe of the work is affected depending on how soon the Client responds and is not at the responsibility of the Live2D Rigger. The Client is responsible for checking the quality and any discovered mistakes is to be informed to the rigger as soon as possible.

  4. Any vague concepts or ideas which are not fleshed out, developed and/or poorly communicated can be refused as a revision request. Evidences and references such as GIFs, annotated screenshots and videos are preferred when requesting revisions.

  5. Any edits and/or revisions requested before the virtual goods transaction has been concluded is free of charge.

  6. Any edits and/or revisions requested 3 weeks after the virtual goods transaction has been concluded will have additional charges under the discretion of the Live2D Rigger.

VI. WORKING DURATION

  1. The Live2D Rigger can take from 1 month up to 3 months depending on the tier and complexity of the model to be rigged.

  2. Working days of Live2D Rigger does not include weekends and any holidays.

  3. Exceptions:

  • Natural disasters, emergencies, accidents, and unplanned disruptions (eg. power outages, broken equipment) may increase the length of turnaround time.

  • The Live2D Rigger must inform the Client regarding the situation and status of the commission. Both parties may negotiate the deadline of the commission.

VII. PAYMENTS

  1. Mode of payment:

  • All payments will be made through PayPal;

  • All payments made will be in USD;

  • The Live2D Rigger must send the Client an invoice via PayPal.

  1. Reservation Fees

  • Any reservation fees are non-refundable;

  • Reservation fees are charged for securing a slot in the commission queue;

  • Reservation fees are required upon proceeding with the guidance of Live2D Rigger to the artist for the cutting of the model, or if Live2D Rigger is personally involved in the cutting of the model artwork;

  • Any reservation fees will be deducted from the down payment.

  1. Down payments and full payments:

  • The Client must pay 50% of the total price as down payment for Live2D Rigger to commence work on the rigging of the model;

  • The Client will only receive the fully rigged model as virtual goods once all balances have been settled.

  1. Additional Charges:

  • Add-ons – Other animations not included in the selected tier are subject to additional charges. Refer to the add-ons portion of the price list.

  • Rushed rigging – The Client must pay with twice (2x) the amount of the total price (the base price and add-ons) for the fully rigged model in which the Live2D Rigger must accomplish at half of the initially agreed turnaround time.

  • Cutting of illustration – In the case of uncut models, the additional charges (not included in the rigging price) incurred will depend on the complexity of the model artwork to be cut personally by Live2D Rigger.

  • Artwork revision – On the rare occasion that the artist can not provide the requested revision, the Live2D Rigger may personally revise the artwork with permission by both the artist and the Client. Additional charges (not included in the rigging price) incurred will depend on the complexity of the revision.

  1. Refunds:

  • The Client is not entitled for a refund once the Live2D Rigger has worked on the model for the commission.

  • In the event that Live2D Rigger encounters an emergency issue and the agreement regarding the extension of a deadline cannot be met, the Client must inform Live2D Rigger of the decision to terminate the contract and cancel the commission. Any fees previously given are non-refundable.

  • In the event that the rigging process cannot be completed due to emergency cases and the Client is not willing to extend the deadline, a partial refund (based on the remaining progress of the rigging) and the editable file of the model will be provided. There will be no full refunds due to the progress made by Live2D Rigger.

VIII. INTELLECTUAL PROPERTY

  1. The Live2D Rigger has the right to publicly post all commissions as part of their portfolio with consideration of the Client’s debut date.

  2. The Client may use the rigged model for commercial purposes.

  3. The Client must credit the Live2D Rigger, with the name “RF.Aedris”, in any of the following:

  • The Bio section of Twitter or other social media accounts;

  • The Bio section of Instagram;

  • About or credit section of Twitch;

  • About or credit section of YouTube.

  1. The Client will only receive the rigged model ready for tracking. Virtual goods do not include the original editable Live2D file.

  2. The Client can have rigging revisions made by a new rigger only after informing Live2D Rigger and providing the proof of transaction (i.e. Invoice, Official receipt). Upon confirmation of the proof of transaction, the Live2D Rigger will send the editable model files directly to the new rigger.
